Terms of Use - Moving and Transport Service

TERMS OF USE

This document sets out the Terms and Conditions for the Moving Service provided by Spaceship to the User. No oral statements made by Spaceship’s employees, its agents, sub-contractors, partners, or its authorized representatives, shall form part of the Agreement. In agreeing to use Spaceship’s Moving Service, the User is deemed to have read and understood and accepted the Terms and Conditions set forth in the Agreement.

1.      DEFINITIONS

1.1    Except to the extent that the context otherwise requires, the following terms shall have the meanings set forth below:

• "Agreement” means the Quotation, online order form, proposal, the Terms and Conditions and the other documents that are part of;

• “Article” means each separate Item carried or moved by Spaceship. For the avoidance of doubt, where two or more objects are packed together in one carton, such carton shall count as the Article;

• “Logistics Service” means either the Moving Service and/or the Transport Service and/or the Additional Services as defined in Clause 6;

• “Moving Service” means the service provided by Spaceship and/or Spaceship’s Representatives as defined in Clause 3;

• “Premise” means the origin address where the User’s Items are to be moved from and the destination address where the User’s Items are to be moved to

• “Spaceship”, “our”, “we” means Astore Pte. Ltd., a Singapore incorporated company (UEN Number: 201427949H)

• “Spaceship Representative” means Spaceship’s employees, agents, sub-contractors and partners

• “User”, “you”, “your” means the person or company contracting with Spaceship to provide the Moving Service, whether or not he is the owner of the Items

• “Items” means the thing or things to be moved in relation to the Moving Service;

• “Quotation” means the quotation document, or online order form, or proposal document, or written email;

• “Parties”, mean Spaceship, Spaceship’s Representatives and the User collectively, and each a “Party”;

• “Terms and Conditions” means the terms and conditions set out in the document, as amended by Spaceship from time to time, under which Spaceship provides the Moving Service to the User;

• “Transport Service” means the service provided by Spaceship and/or Spaceship’s Representatives as defined in Clause 4.

2.     QUOTATION

2.1   The Quotation provided by Spaceship is based on estimates only. The final fee amount may vary based on the actual Items moved, services provided, vehicle trips used, and any other surcharges including surcharges for poor site access and/or surcharges for handling of items.

2.2  Spaceship reserves the right to amend any mistakes and/or omissions in the Quotation at any point of time. Quotations are open for acceptance for a period of 60 days from the date of the Quotation, unless otherwise stated in writing on the Quotation. Once accepted, the Quotation shall be read with and be construed together with the Terms and Conditions herein.

3.     MOVING SERVICE

3.1   Spaceship’s standard Moving Service, unless otherwise stipulated in the Quotation, includes the provision of vehicle or vehicles and labor and the use of clear film to wrap non-carton Items and/or moving blankets.

3.2   The price and the scope of service of the Moving Service unless otherwise stipulated in the Quotation excludes the provision of, but not limited to, the following:

• Packing of loose items into cartons and/or unpacking of items from cartons;

• Extra protective wrapping including the use of bubble wrap, corrugated board, newsprint, etc.;

• Provision of packing materials including new cartons, recycled cartons, corrugated board, bubble wrap, newsprint paper, wardrobe racks or wardrobe cartons, tapes and/or other materials or equipment;

• Supply of labor to disassemble and/or reassemble Items that takes up one labor more than fifteen minutes to complete;

• Handling of items that cannot fit into standard passenger lifts, heavy items in excess of 50kg, items that require special including, but not limited to, pianos, safes, pool tables, marble tables, mirrors, and wardrobes;

• Wall mounting/dismounting of electrical equipment, paintings and mirrors;

• Submitting move permits with relevant building or facility management;

• Disposing of items;

• The taking up or laying of fitted floor and/or wall coverings;

• Disconnecting and reconnecting any electrical appliances or their related fittings;

• Storage and handling of items at the storage facility;

• More than one vehicle trip or work done outside of the standard operating hours; and

• Performing the move at premises where there is poor site access, as described in Clause 9.2.

4.     TRANSPORT SERVICE

4.1   Spaceship’s Transport Service, unless otherwise stipulated in the Quotation, includes the provision of vehicle(s) and a driver(s), and does not include any labor service unless requested by the User, where such requests are subject to additional fees unless stipulated in the Quotation.

4.2  Our Transport Service are billed based on the vehicle type, the number of trips, and the total time taken to complete the job. For avoidance of doubt, the total time taken is measured from the time of arrival of our vehicle at the first location till the time Items are fully loaded off the vehicle at the final destination, regardless of whether the loading and/or unloading of Items are done by the User or by Spaceship.

5.     THIRD PARTY AGENTS, PARTNERS, OR SUB-CONTRACTORS

5.1   From time to time, Spaceship may engage third party agents or partners or sub-contractors to provide the Moving Service, the Transport Service, labor service and other services on behalf of Spaceship. In the event that Spaceship engages third party agents, or partners or sub-contractors to provide the Moving Service and other services, this Agreement shall continue to apply.

6.      ADDITIONAL SERVICES

6.1    Unless otherwise stipulated in the Quotation, additional charges are applicable for the provision of the following additional services:

• Packing of loose items into cartons and/or unpacking of loose items from cartons;

• Disassembly and/or re-assembly of items where the combine time required by one person exceeds 15 minutes;

• Extra protective wrapping including the use of bubble wrap, and/or corrugated board, and/or newsprint paper;

• Picking up and/or dropping off Items at more than one location;

• Applying for permit approvals with facility or building management at the Premise;

• Labelling of items and the use of loading and unloading chits to tally Items moved;

• Taking digital photos of items; and

• Supply of additional labor to perform services.

7.     RIGHT TO REJECT THE PROVISION OF THE LOGISTICS SERVICE

7.1   Unless otherwise agreed in writing, Spaceship reserves the right to reject handling, transporting or storing, but not limited to, under the following circumstances:

• Any items deemed by Spaceship to be dangerous or hazardous;

• High value items including items with a value about $3,000; antiques paintings, sculptures, works of art, branded/boutique designer goods and watches; cash, gold, bullion, jewelry and precious metals;

• Items that require special handling including negotiable instruments; porcelain, pottery, sanitary ware, tiles, lightings and mirrors;

• Prohibited items including tobacco, cigarettes and any contraband items;

• Other items including electronics/semi-conductor components; frozen food; cargo requiring refrigeration; alcohol and liquor; livestock; military equipment, ammunition and explosives; logs, plywood and timber;

• Premises that are deemed by Spaceship to be dangerous and/or a safety risk to carry out the Moving Service;

• Information provided by the User in relation to the Premise and/or the details of Items to be moved is inaccurate and/or is incomplete, and/or the User requested additional services is inaccurate and/or is incomplete.

8.     BOOKINGS AND DELAYS

8.1   Booking of the Logistics Service is based on a first come first served basis and is subject to the availability of Spaceship. A booking is only confirmed upon the receipt of the full amount of the initial payment required and Spaceship sends a confirmation of the booking. While Spaceship may provide the option for the User to reserve a date and time, this does not equate to the confirmation of the Logistics Service.

8.2  Booking times are at best, an estimate. Actual arrival and completion times may vary due to unforeseen circumstances such as bad weather, heavy traffic, delays in preceding jobs, shortage of labor, vehicle conditions, and unanticipated longer than expected time required to complete the Logistics Service.

8.3  Spaceship shall reserve the right to make changes at any time to date and timings of the Logistics Service without any compensation. However, Spaceship shall make reasonable effort to avoid such changes and provide early notification to the Users where possible.

9.     SURCHARGES ON PREMISE ACCESSIBILITY AND ITEM HANDLING

9.1   In the event where the User’s Premise may have certain accessibility limitations and/or special arrangements including allocating additional labor or labor effort, time, vehicles and/or equipment must be made, additional fees shall apply.

9.2  Poor site access includes but not limited to, the following:

• No direct lift access or stair carrying of items is required;

• Pushing of items across a distance in excess of 20 meters from where Spaceship’s vehicle is parked to the User’s Premise;

• Poor parking where our vehicle is unable to park at the loading bay due to height restrictions or congestion, and/or the driver is required to wait by the vehicle;

• Facility management restricts the times where Spaceship can perform the Moving Service;

• Provision of Moving Service at commercial buildings;

• Provision of the Logistics Service at certain address, which shall include, but not limited to the following: Sentosa; airports; immigration checkpoints, ports; Jurong island; camps; and construction sites;

• Items that require special handling include, but not limited to, the following:

• Items that require disassembly/assembly;

• Heavy items in excess of 50kg;

• Large size items that cannot fit into the lift;

• Fragile or delicate items that require additional protective wrapping.

9.3  Spaceship reserves the right, at its absolute discretion, to assess if additional arrangements relating to additional labor, labor effort, labor time, vehicle trips, vehicle type, equipment, additional protective wrapping is required to mitigate the risk of damages to the Items and/or the safety of Spaceship’s Representatives.

10.    PREMISE ACCESS AND APPROVAL

10.1  The User shall ensure that Spaceship and/or Spaceship’s Representatives have reasonable access and parking facilities at the Premises in order to carry out the Logistics Service.

10.2  The User shall ensure adequate and lawful access to the Premise. If facility approvals are required, the User is responsible to ensure that all necessary permits, security deposits and information required is provided to the relevant parties, unless otherwise stated in the Quotation. If there are delays to Spaceship performing its Logistics Service, or Spaceship fails to complete the Logistics Service as a result of delays in getting the necessary Premise move permit approvals, the User acknowledges and agrees that Spaceship may cancel and/or reschedule the Logistics Service and agrees to pay for any surcharges or penalties arising from such delays.

11.     OPERATING HOURS

11.1   Spaceship’s normal operating hours are from 9:30am to 5:30pm, from Mondays to Fridays, and 9:30am to 1pm on Saturdays, excluding public holidays. Where the Logistics Service is not completed within the normal operating hours on dates stipulated in the Quotation, Spaceship may upon the request of the User, continue to perform the Logistics Service beyond the normal operating hours for a surcharge.

11.2  In the event that our services extend beyond the normal operating hours or are required to be performed outside of the standard operating hours, unless stipulated in the Quotation, additional fees according to the category of non-operating hours listed below shall apply:

11.3  Non-standard operating Hours A: Monday to Friday between 5:30pm to 11pm, Saturday between 1pm to 6pm.

11.4  Non-standard operating Hours B: Monday to Friday between 11pm to 6am, Saturday 6pm to 9:30am (following day), Sunday, Public Holidays.

12.    USER RESPONSIBILITIES FOR USING SPACESHIP'S LOGISTICS SERVICES

12.1  With respect to the Moving Service, Spaceship will load and unload all items required to be moved onto transport vehicles. It is however the responsibility of the User to ensure that after loading the transportation vehicle(s), and before its departure, that all item(s) that are to be transported are on the vehicle(s). The User is also responsible for the security of the goods at the origination and destination points during loading and unloading, and thereafter.

12.2  The User shall be present or represented through the provision of the Logistics Service and to check and ensure that nothing that should be moved is left behind and nothing is taken away in error, or everything is delivered as required.

12.3  The User shall arrange for proper protection of Items left in unattended Premises, or where people not connected with the Logistics Service are present. Spaceship shall not be liable for any loss or damage should the User fail to protect the User’s Items.

12.4  The User warrants that the User is the owner of all of the items to be moved or has the explicit or implied authority from the owner of any items to be moved by Spaceship under the Agreement. Unless otherwise stipulated, in the event that the User causes the Company to move or store any item or items belonging to a third party, the User agrees to fully indemnify Spaceship and hold Spaceship harmless against action for damages or losses that may be brought against Spaceship by such third parties in respect of such items. Such indemnity shall be applicable even where Spaceship may be negligent, or if Spaceship’s employees, without authorization from Spaceship, deliberately causes the loss or damage.

12.5  The User warrants that the User is the owner or leaseholder or occupier of any Premises, or is otherwise authorized to allow Spaceship and Spaceship’s Representatives to enter any Premises necessary to complete the move. Unless otherwise stipulated, the User agrees that it shall fully indemnify and hold Spaceship harmless against any action for loss or damage that may be brought against Spaceship by the owner or leaseholder or occupier of any Premises which the User authorizes Spaceship and Spaceship’s Representatives to enter. Such indemnity shall be applicable even where Spaceship may be negligent, or if Spaceship’s Representatives, without the authorization of Spaceship deliberately causes loss or damage to the Premises.

12.6  The User shall provide accurate and complete information prior to Spaceship commencing of the Logistics Service including, but not limited to, accessibility of the Premise, details on additional services required and details of the items to be moved.

12.7  The User shall secure any jewellery, watches, trinkets, precious stones or metal, money, stamps, coins, in a manner to avoid loss of theft of such items during the moving process including packing or unpacking and Spaceship shall accept no liability whatsoever for any claims for loss or damage to these items.

12.8  The User shall declare any Articles that are of high value in excess of SGD 1,000 and that none of the items in relation to Clause 7 are included in the Logistics Service.

12.9  The User shall ensure that all items packed by the User shall be packed with adequate protection and that the Items can be moved safely.

12.10 The User shall be responsible to pay for any parking charges that are incurred during the Moving Service.

12.11 The User shall ensure that all the Items ready to be safely moved prior to Spaceship’s arriving at the Premise. This includes, but not limited to, packing of loose items safely into cartons; removing any wires or electrical connections; removing all items cabinets, pedestals, wardrobes and fridges; dismounting any wall mounted items to be moved, save for any work that the User has engaged Spaceship to perform. Spaceship reserves the right to charge the User for any delays resulting from the Items not be being ready to be moved.

13.     INSURANCE

13.1   Spaceship recommends that the User takes adequate insurance for Items. While Spaceship endeavors to handle the Items with the utmost care, there are always risks of damages or losses to Items and the Premise when items are being moved.

13.2  Unless otherwise stipulated in the Quotation, Spaceship’s basic Moving Service includes basic protection coverage cover against damages or losses to Items or Premises. The amount covered for damage or loss to Items is the lower of the rate of SGD 1.00 per kilogram per Article per order or the second-hand replacement value of the Article, up to a maximum of SGD 100.00 for each order. The amount covered for damages to Premises is the cost of repairs up to SGD 100.00 per Premise. For the avoidance of doubt, this basic protection coverage extends only to the Moving Service, does not apply to the Transport Service, and does not extend to Items or scenarios as listed in Clause 13.4.

13.3  The User has the option of purchasing additional insurance protection coverage for damages or losses to their Items, subject to the approval of Spaceship. Should the User choose to purchase additional protective coverage, the User shall inform Spaceship in writing at least 14 days prior to the commencement of date of the Moving Service. The additional insurance protection coverage is only confirmed upon the occurrence of the following:

• The User completed the necessary documents and submitted to Spaceship at least 10 business days prior to the date of the Moving Service; and

• The User received confirmation and approval from Spaceship, and fully paid the premiums at least 7 business days to the date of the Moving Service;

• There shall be no insurance coverage in relation to the following items, unless otherwise agreed in writing;

• Personal effects, shoes, bags, clothing;

• Works of Art, paintings, mirrors, antiques, vases, ornaments, money, jewelries, laptops, liquor;

• Fragile items including but not limited to items made of glass, porcelain, china;

• Musical instruments, medical instruments;

• Derangement of electrical, electronic and mechanical equipment;

• Items packed into cartons/ boxes by the User;

• Rust, oxidation, discoloration, mould, and scratching, bending, denting, chipping of Items;

• Items where the User chooses not to purchase extra protective wrapping.

13.4  Should there be any loss or damages to the User’s Items or Premise, the User shall notify Spaceship with detailed information on the loss or damage of any applicable Item or to the Premise within the time limited stated below, otherwise the Insurance coverage should not hold:

• Within 5 days after the completion of the Moving Service for Items believed to be damaged or lost;

• At the time of the Logistics Service and prior to the completion of the Logistics Service for Premises believed to be damaged.

14.     LIMITATION OF LIABILITY

14.1   Spaceship does not know the value of your Items therefore we limit our liability to the actual damages through our basic insurance coverage policy as detailed in Clause 13. The amount of risk Spaceship accepts under this condition is reflected in the price of the Logistics Service. In no case whatsoever shall any liability of Spaceship how-so-ever arising, and not withstanding any lack of explanation, exceed the lower of the value of an Article or at the rate of SGD 1.00 per kilogram on the gross weight, up to a maximum of SGD 100.00 per order.

14.2  Spaceship and Spaceship’s Representatives shall in no circumstances be liable for:

• Any loss or damage caused by any event of force majeure, fire, flood, rain, explosion, theft, acts done by malicious intent by any person, or any other event outside the control of Spaceship;

• Any loss or damage caused whilst the Items are in the care and control of the User;

• Any loss of damage caused by the User or other acts or omission where the Items have been pack; unpacked; improperly packed; secured; marked or addressed by the User or any other party that is not Spaceship or Spaceship’s Representatives;

• Loss or damage caused by atmospheric conditions including but not limited to contamination by smell or odour, dampness, mould, mildew, rusting, tarnishing, corrosion, gradual deterioration;

• Loss, damage, or delay caused by events including but not limited to, acts of God, bad weather, heavy traffic, delays in preceding jobs, shortage of labor, vehicle conditions, and unanticipated longer than expected time required to complete the Logistics Service;

• Loss or damage to any intangible property and/or documents or data, whether in hardcopy or stored on laptops, phones, tablets, computers and similar electronics, or any reconstruction or reinstatement of such data; and

• Any direct, indirect or consequential loss or damage howsoever caused, and of whatever nature, including but not limited to any loss or damage to any internal parts of any object.

14.3  In the event of any loss or damage for which Spaceship, and/or Spaceship’s Representatives is deemed to be negligent, the maximum liability to Spaceship and Spaceship’s Representatives shall not be more than SGD 100.00 per order.

14.4  The User acknowledges and agrees that any claim or dispute does not relieve the User from the obligation to defer payment to Spaceship in part or full. If any fees or charges are not paid in full on the due date, late payment penalties shall be imposed and Spaceship reserves the right to postpone any part of the Moving Service until such time as all outstanding monies due are paid in full.

15.     PAYMENT

15.1   Payment of the full amount of the initial payment fee is required prior to Spaceship confirming its Logistics Service, unless otherwise stipulated in the Quotation.

15.2   Unless otherwise stipulated in the Contract, payment can be in the form of either cheque, bank transfer, or credit/debit card. Payment details for bank transfer and cheque payment can be found in the Contract. The User agrees that it is their responsibility to inform Spaceship of the payment via email. If the User elects to make payment via credit card, the User authorizes Spaceship to charge the User’s credit card. The User further authorizes Spaceship to use a third party to process such payment and consent to the disclosure of the User’s payment information to such a third party.

15.3   All payments due and owing by the User to Spaceship under all circumstances shall be made free of any restrictions or conditions and without any deduction or withholding, whether by way of legal and/or equitable set-off or otherwise.

15.4   The User agrees that any amount owed by the User to Spaceship that is past the due date is subject to a payment admin fee of SGD 50.00 per invoice due and a monthly fee of 5% of the total amount over due. The User acknowledges that Spaceship may engage a debt collection agency and/or law firm and commence legal proceedings to recover all outstanding amounts due to Spaceship and the User agrees to indemnify Spaceship for all costs, expenses and fees incurred for such recovery.

15.5   If charges or fees are due and not paid in full, and if Spaceship is in possession or custody of the Users Items, Spaceship shall have the right to keep possession of and hold onto the User’s Items until any charges due are fully paid. If the User’s Items are stored at Spaceship’s warehouse, Spaceship shall be entitled to charge storage fees and all other expenses whilst maintaining a lien on the Items. In the event that any amount is due in excess of 30 days, the User acknowledges that Spaceship is irrevocably authorized without further notice to seize, sell and/or dispose of the User’s Items on such terms that Spaceship’s determines and apply the proceeds in or towards payment of the sums due to Spaceship, including any late payment fees and fees associated with the sale and/or disposal of the Items. Any surplus proceeds in excess of all the amounts due to Spaceship shall be returned back to the User upon the User’s request provided such request was made within no more than 90 days after the initial 30 days.

16.     AMENDMENTS TO THE AGREEMENT

16.1   Spaceship reserves the right to amend or update the Terms and Conditions and the Agreement without prior notice to the User.

17.      NON-ASSIGNMENT

17.1    The User shall not assign this Agreement without the written approval of Spaceship. Any purported assignment shall be legally ineffective and shall construe a breach of this Agreement.

18.     SEVERABILITY

18.1   If any of this Agreement is held invalid or unenforceable to reflect the Parties intent, the remaining portion will remain in full force and effect. Rights under this Agreement shall survive any termination of this Agreement for a period of 5 years.

19.     INDEMNITY

19.1   The Parties hereby covenants and undertakes that it will jointly and severally indemnify and keep Spaceship and their respective officers, directors, employees, representatives and agents, fully indemnified against any damages, losses, liabilities, claims, actions, proceedings, costs (including legal costs on a fully indemnity basis) and expenses which the User may suffer or incur of any nature whatsoever including, but not limited, any connection with or arising from:

• Any breach or breaches by Spaceship and Spaceship’s Representatives of any of its obligations under this Agreement or any breach or breaches of any warranty or the enforcement of its rights here under; and

• Any misrepresentations made by Spaceship and Spaceship’s Representatives;

• Any damages or losses to the User’s Items or Premise as a result of the provision of the Logistics Service;

• Any loss of life, personal injury, and/or damage to the property arising from or out of the provision of the Logistics Service;

• Any damages or losses to any third party whether directly or indirectly incurred as a result of the provision of the Logistics Service.

Such indemnity shall survive the termination of this Agreement without limit in point of time and shall be applicable even where the Company is deemed to be negligent.

20.     GOVERNING LAW

20.1   This Agreement shall be governed by and construed according to the laws of Singapore. The Parties agree that the courts of Singapore shall have exclusive jurisdiction over all matters of the Agreement.

21.     NO WAIVER

21.1   The failure to exercise or delay in exercising any right or remedy provided hereunder or by law does not constitute a waiver of the right or remedy or waiver of other rights or remedies.

22.    THIRD PARTY RIGHTS

22.1   Unless expressively provided to the contrary in this Agreement, a person who is not a party has no right under the Contracts (Rights of Third Parties) Act, Chapter 53B of Singapore to enforce or to enjoy the benefit of any term of this Agreement. Notwithstanding any term of this Agreement, the consent of any third party is not required for any variation (including any release or compromise of any liability under) or termination of this Agreement.

23.      ENTIRE AGREEMENT

23.1   The Parties expressively acknowledge that they have read this Agreement and understood its provisions. The Parties agree that this Agreement, and its subsequent terms, conditions and variations constitute the entire agreement between the Parties and that it supersedes all prior or contemporaneous proposals, agreements, negotiations, representations, warranties, understandings, correspondence and all other communications (whether written or oral, express or implied), or arrangements entered into between the Parties prior to this Agreement in respect of the matters dealt with in it. No promise, inducement, representation or agreement other than as expressly set forth in this Agreement has been made to or by the Parties.
