Thank you for using Spaceship’s services. The following terms and conditions govern the use of the website located at https://www.spaceship.com.sg, including the relevant web pages and domains, and all services and products provided by Spaceship. These terms provide information about Spaceship and the legal terms and conditions that govern all of Spaceship’s products and services.
This Agreement sets out the entire terms and conditions for the storage and other services provided by Spaceship to the User.
No oral statements made by Spaceship’s staff, its agents, or its authorized representatives shall form part of this Agreement, and no failure by Spaceship to exercise
PARTIES TO THE AGREEMENT
This Agreement is made between ASTORE PTE. LTD. with business registration number 201427949H (“Spaceship”), a company incorporated in the Republic of Singapore, and you, the customer (“User”). If you are entering this Agreement on behalf of a company, organization or any other legal entity, you warrant that you are legally entitled to enter this Agreement on behalf of the legal entity you represent.
ESTIMATES AND BILLING
Estimates. Quotations provided by Spaceship for storage space usage and services are based on estimates only. The final storage fee and other services fees may vary based on the actual storage space used or services provided.
Billing For Storage. Unless otherwise stated, your billing cycle for storage starts on the first day your items arrive at our storage facility and will recur on a monthly rolling basis. If additional new items are received by Spaceship between your current monthly billing cycle, you will be billed a prorated amount on the date that Spaceship receives your new items based on the storage usage space of the new items. For the avoidance of doubt, if your storage space usage decreases in the middle of your billing cycle, there will be no refunds or credits. Your reduction in storage usage fee will be adjusted accordingly in the next billing cycle, save for any minimum space commitments.
Billing For Services. Billing and payment for services provided will be required before the day the service was performed unless otherwise stated in your billing frequency.
SPACESHIP STORAGE SUBSCRIPTION
Subscription Term Commitments. In some cases, you may be required to commit to a certain duration in order to enjoy certain discounts or custom prices. Unless otherwise stated, the subscription term commitment is on a monthly basis.
Minimum Storage Space Usage. Spaceship’s standard storage plans come with a minimum storage space usage. In some cases, custom storage plans may also come with minimum storage space usage commitments. If the actual storage space used is less than the minimum storage space usage required, you will still be billed a usage quantity based on the minimum storage space usage required.
Method of Storing Items. To ensure the safety of your items from damages and for the safety of the Spaceship staff, the type of storage bins and/or the way your items are stacked for storage is entirely up to Spaceship to determine. Items may be stacked on top of each other to reduce the amount of space, however, with the following limitations:
General household/office items: Max height: 1.8m
Retail & Merchandise (pallets): Max height: 1.6m
Retail & Merchandise (shelves): Max height: 2.0m
Corporate Documents: Max height: 1.6m
Your items may not be stacked to the maximum height if Spaceship determines otherwise due to the safety of your items and our personnel, and, for retrieval requirements.
Storage Space Usage Calculations. Spaceship has a variety of measurement units to calculate the storage usage including square feet, pallets and cubic meters. Storage usage quantity is based on the amount of storage space used, rounded up to the nearest whole unit of measure.
Termination of Storage Subscription. You may cancel your storage subscription at any time. You are required to submit a termination order either via email or online. Your subscription plan is only terminated after Spaceship has confirmed the receipt of your termination request and have returned all your storage items back to you. If the termination date is before the end of your current billing cycle, there will be no refunds of any prepaid balance in your current billing cycle. If the termination date is before the end of your minimum subscription term commitments, you are required to pay the balance remaining of the subscription term, and there will be no refunds for any prepaid balances.
Apart from providing storage, Spaceship also provides other services including transportation, loading/unloading, item handling, inventorying, item counting, and visual quality inspection.
Site Access And Approvals For Transportation. You are required to ensure that Spaceship or its carrier partners have reasonable access and parking facilities at the delivery address in order for us to carry out our Services. If facility approvals are required, You acknowledge that it is your responsibility to ensure that all necessary permits, security deposits and information required are provided to the relevant parties to ensure that we are able to enter the delivery address and perform our services. If Spaceship is unable to complete the delivery, Spaceship will cancel and reschedule the delivery and you will be required to pay a cancellation fee.
Service Level Agreement. Spaceship will in its best effort deliver our services in accordance to the following service levels:
Transportation (request cut-off time 4pm)
2 business days
In/Outbound of items into and out of storage
2 business days per 200 items
However, this is subjected entirely to the availability of our resources. Spaceship will not be liable for not adhering to the requested date and time that you have requested for. Furthermore, Spaceship will not be held liable for any delays or cancellations to the provision of Spaceship’s services due to incomplete information provided by you, misallocation of our resources, bad weather, bad traffic conditions or whatsoever.
Receiving From Third Party Carriers. For customers under certain Subscription Plans, you may arrange for your own transportation to send items to Spaceship’s storage facility. Prior to sending your items to Spaceship, you agree to ensure that the shipment satisfies Spaceship’s receiving guidelines the following:
- You will provide a shipment packing list containing descriptions of the items and quantities. A maximum of 10% variance in quantity and number of items is allowed.
- Ensure that the shipment contains items that are cleaned and packaged
- Notify us 3 business days in advance of your pending shipment
- Inform us of the way your items will be sent via your third party carrier, and notify us of any handling requirements
- You will provide details of the third party carrier including the vehicle type, the load of the shipment, the estimated arrival date and time interval, and contact person details of the third party carrier.
Non-standard receiving is used to denote receiving items from third-party carriers that do not meet our receiving guidelines. These may cause delays and additional fees as additional labor or equipment to complete. Examples of non-standard receiving includes:
Unlabelled or non-compliant labeled items
Damaged cartons or items
Mixed receiving that requires additional sorting
Receiving that is not cleared of taxes, duty charges
PROFESSIONAL MOVING AND DELIVERY SERVICE
Accessibility Limitations. There will be times when the address of which we are required to move your items from, and/or the address of which we are required to move your items to, may have certain accessibility limitations. Special arrangements including allocating additional manpower or bringing additional equipment must be made, and additional fees will apply. Accessibility limitations includes, but not limited to, the following:
- No direct lift access or stair carry
- Long distance from where our vehicle can be parked to the lift
- Facility approval requirements and delivery time restrictions.
- Special Handling. There are instances when additional arrangements are required to handle certain items.These includes, but not limited to, the following:
- Items that require disassembly / assembly
- Heavy items that weigh over 50kg
- Large size items that cannot fit into lifts
- Fragile items that need special packing
You agree to provide us with this information prior to us commencing our service. In the event that this information are not accurately provided, Spaceship maintains the right to reject the provision of our transport service. You further acknowledge that additional fees will apply for such special handling.
Packing Service. Our professional moving service comes with standard packing that includes basic clear film wrapping of your items. Our standard packing service does not include packing items individually into boxes, or any special wrapping of your items. In the event that you require enhanced packing or require us to pack your items into boxes, you agree to provide us with this information at least 2 business days before the commencement of the move. Additional fees will apply for non-standard packing service.
Liability of Damages to Items During Transit. You acknowledge the risks of items being damaged while they are transported. While Spaceship’s team will take the necessary precautionary measures to ensure that your items are safely transported, Spaceship will not be liable for any damages resulting from the movement of your items. If you would like additional protection, you are responsible for the purchasing of the necessary insurance required.
STORAGE FACILITY, AND STORED ITEMS
Storage Environment. Unless otherwise stated, your items will be stored in an ambient environment in a shared storage facility.While Spaceship has pest control and cleaning procedures in place, you acknowledge that Spaceship will not be liable for any mold, mildew or similar organisms that might grow on your stored items.
Prohibited Items. You agree not to store the following items:
Drugs or drug paraphernalia;
Firearms, explosives, flammables (including alcohol), and any
High-value items including antiques, fine art, or jewelry
Living things and perishable items;
Stolen or illegal items.
Spaceship reserves the right to inspect your items & open your items upon giving 7 days written notice to the User, except in the event of an emergency whereby property, the environment, or human life is, in the absolute opinion of Spaceship threatened.
Rights of Refusal. You acknowledge that Spaceship reserves the right to refuse the collection, storage, and delivery of any items at Spaceship’s own absolute discretion.
Movement of Your Items. Spaceship reserves the right to relocate the User’s items within the storage facility, and to other storage facilities without any notice and approval from the User.
Bailment. You acknowledge to have full knowledge of your items stored with Spaceship. Spaceship does not and will not be deemed to have any knowledge of the items and is not a bailee nor a workhouseman of the items.
Limited Access to Stored Items. You acknowledge that you are not permitted to visit Spaceship’s storage facility as it is a secured facility and not open for public access. Upon your stored items arriving at our storage facility, your items are now unavailable for inspection or for pickup. You are also not permitted to arrange for your own transport to send items to or retrieve items from our storage facilities.
Limitation of Liability. You acknowledge that Spaceship is not liable for any loss or damages, including consequential damages, however cause, suffered by you with regards to the User’s items stored with Spaceship or during transit of the User’s items. Spaceship does not exclude liability for negligence, fraud and any liability that cannot be limited or excluded by the governing law. However, you agree that our entire liability to you (including breach by negligence) will not exceed the lower of the last 2 months of Storage Fees or the cumulative value of damaged or lost items stored, or $500 per user.
Operational Hours. Spaceship’s operational hours are as follows:
Normal business hours
Mon to Fri (10am – 6pm)
Warehouse business hours
Mon to Fri (9am-5pm), Sat (9am-1pm)
Delivery business hours
Mon to Fri (10am-6pm), Sat (10am-2pm)
In the event that we are required to perform services that extend beyond our operating hours, additional fees will apply.
Late Payment. In the event of any fees, charges or other monies due and owing not being paid in full on the due date, Spaceship may, without further notice, deny access or deny the provision of any services after such due date, and/or at the end of 30 days after such due date, take possession, seize sell and/or dispose off the User’s items on such terms that Spaceship determines.
Non Assignment. The User cannot assign this Agreement without the prior written approval of Spaceship. Any purported assignment shall be legally ineffective and shall construed breach of this Agreement.
Governing Law. This Agreement shall be governed and construed in accordance to the laws of Singapore. The parties involved in this Agreement agree to submit exclusively to the jurisdiction of the Courts of Singapore.
Severability. If any part of this Agreement is held invalid or unenforceable to reflect the parties’ original intent, the remaining portion will remain in full force and effect. Rights under this Agreement will survive any termination of this Agreement for a period of 5 years.
